	Compensatory Arrangements of Certain Officers.

Beacon Roofing Supply, Inc. (the “Company”) filed a Current Report on Form 8-K with the Securities and Exchange Commission on January 12, 2024 (the “Prior 8-K”), announcing that Carmelo Carrubba had been appointed the Company’s Interim Chief Financial Officer effective as of January 20, 2024. The purpose of this Current Report on Form 8-K/A is to amend the Prior 8-K to report that on February 14, 2024, Mr. Carrubba was awarded (i) a supplemental $25,000 per month cash payment for any month in which Mr. Carrubba is in the Interim Chief Financial Officer role, with a minimum of two months, and (ii) 1,149 restricted stock units (“RSUs”) under the Company’s Second Amended and Restated 2014 Stock Plan.

Each RSU represents a contingent right to receive one share of the Company’s common stock on the date of vest, which is the three-year anniversary of the grant date. All RSU awards are subject to continued employment, except under certain conditions.
