In connection with the termination of the Plan, all participants were requested to instruct the third party administrative agent (the "Plan Agent") of the Plan on whether the participant desired to sell, transfer or certificate the shares held in a participant's Plan account. If no instructions were received by the Plan Agent by March 31, 2006, the Plan Agent would automatically certificate a participant's shares for a fee. The Reporting Person did not provide instructions to the Plan Agent by March 31, 2006, and the Plan Agent certificated the Reporting Person's shares held under the Plan.
