 exercise price of the Warrant was adjusted from $2.61 per share to $2.51 per share pursuant to Section 5.5 of the Agreement.
  The number of shares of Common Stock that may be purchased under the Warrant was not adjusted.  The inclusion of these
 warrants in Table II above is for the sole purpose of disclosure of the adjustment in the exercise price per share.</footnote>
