The reporting person continues to report beneficial ownership of all of the ATP common stock held by the trust but disclaims beneficial ownership except to the extent of his and his wife's pecuniary interest therein. On December 30, 2004 the reporting person gave 150,000 shares of ATP common stock to a charitable remainder trust as a gift. With this sale all 150,000 shares of ATP common stock held by the charitable remainder trust have been sold and the reporting person holds no indirect ownership in ATP common stock through the charitable remainder trust.
