Item 1.01. Entry Into a Material Definitive Agreement

As of April 7, 2009, Pure Play Music, Ltd., (the “Company”) and Cohiba Partners, Inc., a California corporation have agreed to terminate all written or oral agreements, contracts or understandings between them.
