State Farm chose to exercise its four warrants on April 3, 2007 by making a "net issue election" as allowed by each warrant. Under this election, State Farm elected to pay the conversion or exercise price of the warrants by tendering shares of common stock to be received upon conversion. Therefore, State Farm received fewer shares than each warrant entitled it to receive if State Farm had paid the conversion or exercise price in cash.
