July 30, 2013, we announced that our board of directors has
approved pursuing the spin-off of our accommodations business
into a stand-alone, publicly traded corporation through a
tax-free distribution of the accommodations business to the
Company’s shareholders. The objective of the spin-off
is to more effectively focus on two distinct businesses,
achieve lower cost of capital for our accommodations
business, to pursue more tailored and aggressive growth
strategies and optimize operating efficiencies among other
objectives. The spin-off is subject to market conditions, the
receipt of an affirmative IRS ruling or independent tax
opinion</font><font style="FONT-FAMILY: Times New Roman, Times, serif; FONT-SIZE: 10pt">,
the completion of a review by the Commission of a Form 10 to
be filed by the accommodations business, the execution of
separation and intercompany agreements and final approval of
our board of directors and is expected to be completed in the
