Item 5.02 Appointment of Certain Officers; Compensatory Arrangements of Certain Officers; Departure of Directors or Certain Officers; Election of Directors.

On January 20, 2022, the Compensation Committee of the Board of Directors of Comstock Mining Inc. (the “Company”) authorized a special cash award of $150,000 to William McCarthy, the Company’s Chief Operating Officer, for superlative efforts.
