(?Ballyshannon?) exercised a warrant to purchase 225,000 shares of common stock (?Common Stock?). Ballyshannon exercised the warrant on a net basis which resulted in nFinanSe Inc. (the ?Company?) retaining 22,500 shares of Common Stock for the warrant exercise price and the Company issued 202,500 shares of Common Stock to Ballyshannon. This warrant of the Company was, and the shares of Common Stock of the Company issued upon exercise of the warrant are, held by Ballyshannon. Ballyshannon Partners Inc., a Pennsylvania corporation (the ?General Partner?), is the general partner of Ballyshannon. Mr. Terker is the president and control person of the General Partner. Mr. Terker has shared voting and dispositive power over the securities held by Ballyshannon. Mr. Terker disclaims beneficial ownership of the securities held by Ballyshannon except for his pecuniary interest therein. On March 16, 2010, Ballyshannon exercised a warrant to purchase 112,500 shares of Common Stock. Ballyshannon used the net exercise feature of the warrant which resulted in the Company retaining 11,250 shares of Common Stock for the warrant exercise price and the Company issued 101,250 shares of Common Stock to Ballyshannon.
