(the ?Company?) retaining 2,500 shares of Common Stock for the warrant exercise price and the Company issued 22,500 shares of Common Stock to Ballyshannon Family. This warrant of the Company was, and the shares of Common Stock of the Company issued upon exercise of the warrant are, held by Ballyshannon Family. Ballyshannon Partners Inc., a Pennsylvania corporation (the ?General Partner?), is the general partner of Ballyshannon Family. Mr. Terker is the president and control person of the General Partner. Mr. Terker has shared voting and dispositive power over the securities held by Ballyshannon Family. Mr. Terker disclaims beneficial ownership of the securities held by Ballyshannon Family except for his pecuniary interest therein. On March 16, 2010, Ballyshannon Family exercised a warrant to purchase 37,500 shares of Common Stock. Ballyshannon Family used the net exercise feature of the warrant which resulted in the Company retaining 3,750 shares of Common Stock for the warrant exercise price and the Company issued 33,750 shares of Common Stock to Ballyshannon Family.
