Item 8.01. Other Events.
On March 15, 2023, pursuant to that certain purchase agreement, dated as of March 8, 2023 (the “Purchase Agreement”), by and among Model N, Inc. (the “Company”) and Goldman Sachs & Co. LLC, Jefferies LLC and RBC Capital Markets, LLC, as representatives of the several purchasers named therein (collectively, the “Initial Purchasers”), pursuant to which the Company previously issued and sold $220.0 million in aggregate principal amount of its 1.875% Convertible Senior Notes due 2028 (the “Notes”), the Initial Purchasers notified the Company of their exercise in full of their option to purchase an additional $33.0 million principal amount of Notes (the “Additional Notes”), as set forth in the Purchase Agreement, and on March 17, 2023, the Company issued and sold the Additional Notes to the Initial Purchasers.
