Other Events.

On September 25, 2018, The Dun & Bradstreet Corporation (the “Company”) issued a press release announcing that it had established a record date of September 28, 2018, and a meeting date of November 7, 2018, for a special meeting of its stockholders to, among other things, consider and vote on a proposal to adopt the previously announced Agreement and Plan of Merger, dated as of August 8, 2018, by and among the Company, Star Parent, L.P. and Star Merger Sub, Inc.

Dun & Bradstreet Announces Special Meeting of Shareholders to be Held November 7, 2018

SHORT HILLS, N.J. – September 25, 2018 – Dun & Bradstreet (NYSE:DNB) (the “Company”), the global leader in commercial data, analytics and insights for businesses, today announced that it has established a meeting date of November 7, 2018, for a special meeting (the “Special Meeting”) of shareholders of record as of September 28, 2018 to, among other things, consider and vote on a proposal to adopt the previously announced agreement and plan of merger, dated as of August 8, 2018, by and among the Company, Star Parent, L.P. and Star Merger Sub, Inc. The Special Meeting will take place at 8:00 a.m. Eastern Time at The Hilton Short Hills, 41 John F. Kennedy Parkway, Short Hills, NJ 07078.

D&B shareholders as of the close of business on the record date for the Special Meeting will be entitled to receive notice of, and vote at, the Special Meeting.

The proposed transaction with Star Parent, L.P. and Star Merger Sub, Inc. is expected to close no later than during the first quarter of 2019, subject to Dun & Bradstreet shareholder approval, regulatory clearances and other customary closing conditions.
