Item 1. Description of Registrant’s Securities to be Registered

The Registrant filed with the Securities and Exchange Commission (the “Commission”) on June 12, 2015 a Registration Statement on Form F-3ASR (Registration Statement No. 333-204908) (as amended from time to time, the “Registration Statement”) containing a prospectus, dated June 12, 2015, relating to the Registrant’s Debt Securities and Warrants. That prospectus has been replaced from time to time by a new prospectus, most recently by a prospectus dated April 29, 2016 (the “Prospectus”). The Registration Statement was automatically effective upon filing with the Commission. On the date hereof, the Registrant intends to file with the Commission pursuant to Rule 424(b) under the Securities Act of 1933 a prospectus supplement, dated July 13, 2016 (the “Prospectus Supplement”) relating to the VelocityShares^TM VIX Short Volatility Hedged ETN linked to the S&P 500 VIX Futures Short Volatility Hedged Index TR – Short Term due July 18, 2046, which is part of the Registrant’s Medium-Term Notes, Series B.
