Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

·   The date of resignation:  Ren Hu resigned as chief financial officer on April 10, 2009.

·   Any positions held by the officer on any committee of the board of directors at the time of the officer's resignation:     None.

·   A brief description of the circumstances representing the disagreement that the registrant believes caused, in whole or in part, the officer's resignation:  Set forth in the letters to the Company.

Ren Hu has furnished us with written correspondence concerning the circumstances surrounding his resignation and we have filed a copy of the correspondence as an exhibit to this report on Form 8-K.

We have provided Ren Hu with a copy of the disclosures we are making in response to this Item 5.02 on March 10, 2009.  We will provide Ren Hu with the opportunity to furnish us as promptly as possible with a letter addressed to us stating whether she or he agrees with the statements made by us in response to this Item 5.02 and, if not, stating the respects in which he does not agree; and file any letter received by us from Ren Hu with the Commission as an exhibit by an amendment to the previously filed Form 8-K within two business days after receipt by us.
