Explanation of Responses:

1. Control over Issuer's securities was conveyed by Mr. Altaf Nazerali and two entities he controls to Reporting Person through proxies, that granted to Reporrtng Person the right to vote shares held by Mr. Nazerali, of record or beneficially, including any and all other securities issued or issuable to him at any future date within fourteen (14) months of June 30, 2021, to induce Reporting Person to cause an operating asset or business enterprise owned or controlled by Reporting Person to enter into a business transaction with the Issuer. The aforesaid proxies conveyed voting control to Reporting Person of 2,630,170 common shares or 56.95% of the Company's then issued and outstanding shares on June 30, 2021.
