AMENDMENT NO. 3

TO THE

SECOND AMENDED AND RESTATED SERVICE PLAN

(REIMBURSEMENT)

The Second Amended and Restated Service Plan (Reimbursement) (the "Plan"), dated as of July 1, 2022, as subsequently amended, is hereby amended, as of September 10, 2024, as follows:

WHEREAS, the parties desire to amend the Plan to change the name of Invesco Capital Appreciation Fund to Invesco Discovery Large Cap Fund, a series portfolio of AIM Counselor Series Trust (Invesco Counselor Series Trust) (“ACST”) effective December 20, 2024.

NOW THEREFORE, Schedule A to the Plan is hereby deleted in its entirety and replaced with the following:
