Item 2.02. Results of Operations and Financial Condition.
     On December 8, 2005, the registrant issued a press release announcing its financial results for its second quarter ended October 29, 2005, which press release is attached hereto as Exhibit 99.1.
     Also on December 8, 2005, the registrant held a conference call to discuss its financial results for the second quarter ended October 29, 2005. The transcript of that conference call is attached hereto as Exhibit 99.2.
