(c),(e) Kathleen Flanagan, the Company’s former Chief Administration Officer and Executive Vice President, Strategic Change Management and John B. (Jack) Benton, its former Executive Vice President, Strategic Advisor, left the further employ of the Company on December 31, 2006. The descriptions of the post-employment compensatory contracts with Ms. Flanagan and Mr. Benton are contained in the Company’s Current Reports on Form 8-K filed with the Securities and Exchange Commission on December 12 and October 5, 2006, respectively.
