Item 5.02.

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On October 3, 2019, Dennis F. Raymond, Jr.’s employment as Executive Vice President and Chief Lending Officer of American River Bankshares (the “Company”) and American River Bank ended. At the current time the Company intends to have Chief Executive Officer and President, David E. Ritchie, Jr. assume the primary responsibilities of overseeing American River Bank’s lending team.
