Item 8.01 Other Events.

On November 23, 2005, Blackboard Inc. (the "Company") and WebCT, Inc. each received a request for additional information from the Department of Justice in connection with the entry into an Agreement and Plan of Merger by and among the Company, WebCT, Inc. and College Acquisition Sub, Inc. on October 12, 2005. The effect of the second request is to extend the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, until 30 days after the parties have substantially complied with the request, unless that period is terminated sooner by the Department of Justice.
