Item 8.01 Other Events.

Securities Purchase Agreement Extension

On May 15, 2008, at the request of Harmonie International LLC (“Harmonie”), due to its trading compliance issues having nothing to do with its transaction with the Company, Debt Resolve agreed to extend the date for funding under the Securities Purchase Agreement (the "Agreement") between the Company and Harmonie. Harmonie will commence funding by May 23, 2008, and funding will be completed no later than May 30, 2008. The Company reserved all other rights under the Agreement.
