GTCR Golder Rauner, L.L.C. ("GTCR") is the general partner of GTCR Partners VII, L.P. ("GTCR Partners VII"), which is the general partner of Fund VII/A, which is the direct beneficial owner of 4,211,444 shares reported in Table I. As such, GTCR and GTCR Partners VII may be deemed to be beneficial owners of 4,211,444 shares held directly by Fund VII/A. GTCR and GTCR Partners VII expressly disclaim beneficial ownership of 4,211,444 shares held directly by Fund VII/A. GTCR is the general partner of GTCR Partners VII, which is the general partner of Fund VII, which is the direct beneficial owner of 5,611,622 shares reported in Table I. Fund VII is also a member of Holdings LLC, which is the direct beneficial owner of 523,335 shares reported in Table I.
