Item 8.01 — Other Events.

On October 19, 2022, Insmed Incorporated (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with J.P. Morgan Securities LLC and SVB Securities LLC, as underwriters (the “Underwriters”), pursuant to which, subject to satisfaction of the conditions set forth therein, the Company has agreed to sell to the Underwriters, and the Underwriters have agreed to purchase from the Company, 13,750,000 shares (the “Shares”) of the common stock, par value $0.01 per share, of the Company. The Shares will be sold at an offering price of $20.00 per share. Gross proceeds to the Company, before deducting underwriting discounts and commissions and other offering expenses payable by the Company, will be $275 million.

The offering of the Shares (the “Offering”) is being made pursuant to the Company’s shelf registration statement on Form S-3 (Registration Statement No. 333-238560) that became automatically effective upon filing with the Securities and Exchange Commission (the “SEC”) on May 21, 2020, which includes a base prospectus dated May 21, 2020 (the “Registration Statement”), as supplemented by a prospectus supplement dated October 19, 2022.

The Company made certain customary representations, warranties and covenants in the Underwriting Agreement concerning the Company, the Registration Statement and the offering of the Shares. The Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the “Securities Act”). The Company and the Underwriters expect to consummate the sale and purchase of the Shares pursuant to the Underwriting Agreement on October 21, 2022, subject to the satisfaction of customary closing conditions.

A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated by reference herein. The foregoing description of the terms of the Underwriting Agreement does not purport to be complete and is qualified in its entirety by reference to the Underwriting Agreement.

The legal opinion of Hunton Andrews Kurth LLP relating to the Shares is filed herewith as Exhibit 5.1.

On October 19, 2022, the Company issued a press release announcing the Offering as well as its $350 million senior secured term loan and $150 million revenue interest purchase agreement, which were previously reported on a Current Report on Form 8-K filed by the Company on October 19, 2022.
