ITEM 8.01                      Other Events

On November 22, 2010, Frontier Oil Corporation issued a press release announcing that it will redeem all of the outstanding principal amount of its 6 5/8% Senior Notes due 2011 (the “Notes”) on December 23, 2010, at a redemption price equal to 100% of the principal amount of the Notes, plus accrued and unpaid interest on the notes to, but not including, the redemption date.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
