Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On October 20, 2009, Frontier Oil Corporation ("Frontier") announced that Paul Eisman, Executive Vice President Refining and Marketing Operations, will retire from the Company effective November 1, 2009.  There will be no successor to Mr. Eisman at this time, and his responsibilities will be assumed by Frontier’s existing management team.

A copy of the press release announcing Mr. Eisman’s retirement is attached hereto as Exhibit 99.1 and incorporated herein by reference.
