Item 1.01                      Entry into a Material Definitive Agreement.

On September 9, 2009, Frontier Oil Corporation (the "Company") entered into an Executive Change in Control Severance Agreement and an Executive Severance Agreement (collectively, the “New Agreements”) with Kevin D. Burke, Plant Manager and Vice President of Frontier Refining Inc., a wholly-owned subsidiary of the Company.  These agreements are substantially the same as the existing agreements entered into by the Company as of December 30, 2008, descriptions of which are included in the Company’s Current Report on Form 8-K filed on January 2, 2009 and incorporated herein by reference.  Mr. Burke’s severance benefit as a multiple of his annual base salary is four.

The descriptions herein of the New Agreements do not purport to be complete statements of the parties’ rights and obligations thereunder.  The statements herein are qualified in their entirety by reference to the New Agreements, which are attached hereto as Exhibits 10.1 and 10.2, respectively, and are incorporated herein by reference.
