On September 5, 2008, Frontier Oil Corporation (the “Company”) issued a press release announcing that it intends to offer, subject to market conditions and other factors, up to $200,000,000 aggregate principal amount of the Company’s senior notes due 2016 in a registered public offering.  A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
