Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On June 1, 2005, Frontier Oil Corporation (“Frontier”) announced that Douglas S. Aron was elected to the newly-created position of Vice President - Corporate Finance. Mr. Aron will have the responsibility for the treasury department, investor relations, and capital markets for the Company. He will report to the chief financial officer.

Mr. Aron (31) has been Director - Investor Relations for Frontier since 2001. Prior to joining Frontier he was a commercial lending officer for Amegy Bank (formerly Southwest Bank of Texas).

A copy of the press release announcing Mr. Aron’s appointment is attached hereto as Exhibit 99.1 and incorporated herein by reference.
