ITEM 12.    RESULTS OF OPERATIONS AND FINANCIAL CONDITION

         On February 11, 2004, Frontier Oil Corporation (“Frontier”) issued a news release announcing its financial results for the year ended December 31, 2003. A copy of the news release is furnished as Exhibit 99.1 to this report. The news release discloses certain financial measures (EBITDA and Merger costs) that are non-GAAP financial measures as defined under SEC rules. The news release furnishes a reconciliation of these non-GAAP financial measures to their nearest GAAP financial measures.
