Item 1.01          Entry into a Material Definitive Agreement

On June 6, 2017, VerifyMe, Inc. (the "Company") entered into a Consulting Agreement with Mr. Patrick White, an experienced security technology executive. Upon the Company raising $1,500,000, Mr. White will enter into an Employment Agreement and become Chief Executive Officer. Pending that event, Mr. White is assisting the Company in connection with strategic initiatives. Under the Consulting Agreement, Mr. White is receiving a $10,000 per month fee which will accrue until the Company raises at least $500,000 and will receive a grant of 5 million stock options exercisable at $0.07 per share, of which 3 million are vested and the balance vest over two years.
