During the nine months ended September 30, 2021, the Company issued 24,150,986 shares of its common stock as follows:

· The Company issued 15,617,653 shares of its common stock upon the conversion of $332,000 in convertible notes pursuant to the convertible notes conversion prices of $0.02 to $0.035 per share.

· The Company issued 8,533,333 shares of its common stock upon the private sale for proceeds of $128,000 at an exercise price of $0.015 per share.
