Subsequent Events

13. Subsequent events:

On August 2, 2018, in connection with the Company’s 2018 Annual Meeting of Stockholders (the “Meeting”), the Company’s stockholders approved, among other matters, the following;

• The Company’s Certificate of Incorporation was amended to increase the number of authorized shares of Common Stock from 75,000,000 to 125,000,000; and

• The ratification of the issuance and sale of the Company’s Series B Preferred Stock, par value $.001 per share, and to approve the issuance of Common Stock issuable upon the conversion of the Series B Preferred Stock as required by and in accordance with NASDAQ Marketplace Rule 5635(d).
