Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

The SCO Group, Inc. (the “Company”) today announced that on May 24, 2005, K. Fred Skousen notified the Company’s board of directors that he will not stand for re-election as a director of the Company at its next annual meeting of stockholders, which is currently scheduled for June 28, 2005. Mr. Skousen has served as a director since June 2003.
