Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 4, 2008, the Board of Directors of Sonoran Energy, Inc. (the "Company") accepted the resignation of Robert M. King from his position as a director of the Company.  Mr. King submitted his letter of resignation (attached hereto as Exhibit 17.1) to the Board.  Mr. King's resignation was not the result of any disagreements with the Company.
