Item 1.01.

Entry into a Material Definitive Agreement

On May 6, 2008, Equinix Group Limited, a wholly-owned subsidiary of Equinix, Inc. (“Equinix”), entered into an amendment (the “Amendment”) to its £82,000,000 Senior Facilities Agreement (the “Facilities Agreement”) dated June 29, 2007 with CIT Bank Limited, as arranger, CIT Capital Finance (UK) Limited, as administrative agent and security trustee and the Lenders (as defined therein). The Amendment relates to, among other things, the increase of the margin by 0.125%, the carve-out of certain costs incurred in connection with Equinix’s acquisition of IXEurope plc from the Facilities Agreement’s covenant calculations and acknowledgment of a key management change.
