Explanatory Note

This Post-Effective Amendment No. 106 to the Registrant’s Registration Statement on Form N-1A is being filed pursuant to paragraph (b)(1)(iii) of Rule 485 of the Securities Act of 1933, as amended (the “1933 Act”), solely for the purpose of delaying, until November 5, 2007, the effectiveness of the registration statement for the iShares FTSE Developed Small Cap ex-North America Index Fund, iShares FTSE EPRA/NAREIT Global Real Estate ex-U.S. Index Fund, iShares FTSE EPRA/NAREIT Europe Index Fund, iShares FTSE EPRA/NAREIT Asia Index Fund and iShares FTSE EPRA/NAREIT North America Index Fund (collectively, the “Funds”), filed in Post-Effective Amendment No. 78 on April 23, 2007 pursuant to paragraph (a) of Rule 485 of the 1933 Act. The effectiveness of the registration statement for these Funds was previously delayed pursuant to Post-Effective Amendment No. 87 filed on July 6, 2007; Post-Effective Amendment No. 91 filed on July 20, 2007; Post-Effective Amendment No. 97 filed on August 21, 2007; and Post-Effective Amendment No. 100 filed on September 20, 2007, as provided in paragraph (b)(1)(iii) of Rule 485 of the 1933 Act. This Post-Effective Amendment No. 106 incorporates by reference the information contained in Parts A, B and C of Post-Effective Amendment No. 78.
