Pursuant to §§ 57C-2-21, 57C-9A-01 and 57C-9A-03 of the General Statutes of North Carolina, the undersigned converting business entity does hereby submit these Articles of Organization Including Articles of Conversion for the purpose of forming a limited liability company.

 

1.    The name of the limited liability company is: Quintiles Latin America, LLC
   The limited liability company is being formed pursuant to a conversion of another business entity.
2.    The name of the converting business entity is Quintiles Latin America, Inc. and the organization and internal affairs of the converting business entity are governed by the laws of the state or country of North Carolina A plan of conversion has been approved by the converting business entity as required by law.

ARTICLES OF AMENDMENT

OF

ARTICLES OF ORGANIZATION

 

 

Pursuant to Section 57D-2-22 of the General Statutes of North Carolina, the undersigned limited liability company, Quintiles Latin America, LLC (the “Company”), hereby submits these Articles of Amendment for the purpose of amending its Articles of Organization:

1. The name of the limited liability company is Quintiles Latin America, LLC

2. Article 1 of the Articles of Organization of the Company is hereby amended to read as follows:

“1. The name of the limited liability company is IQVIA RDS Latin America LLC”

3. The foregoing amendment was duly adopted by unanimous vote of the sole member of the limited liability company.

4. These articles will become effective upon filing.
