State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q,10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Shortly before the filing deadline for its Annual Report on Form 10-K for the fiscal year ended July 31, 2006 (the “2006 Form 10-K”), the management of the Registrant determined that it was prudent to make a change in presentation to the Consolidated Statements of Cash Flows contained in the 2006 Form 10-K to conform the presentation to the guidance provided in FASB Statement No. 95, Statement of Cash Flows. The Registrant is currently revising the 2006 Form 10-K in light of this development. The Registrant concluded that the change made to the presentation of the Consolidated Statements of Cash Flows contained in the 2006 Form 10-K does not impact its previously filed financial statements. Due to the additional time required by the Registrant to complete the foregoing activities, the Registrant was unable to complete and file the 2006 Form 10-K within the prescribed due date of October 16, 2006, without unreasonable effort and expense. The Registrant currently expects to file its 2006 Form 10-K no later than the fifteenth calendar day following the prescribed due date.

Although subject to change as the Registrant finalizes its financial statements contained in its Annual Report on Form 10-K for the fiscal year ended July 31, 2006, the Registrant anticipates that its operating results for the fiscal year ended July 31, 2006 will be substantially similar to those contained in the press release dated August 29, 2006 and furnished as an exhibit to the current report on Form 8-K filed August 29, 2006.
