Explanation of Responses:

1. The reporting person transferred these securities to Stanfield Family Investments LLC, a Virginia limited liability company ("SFI LLC"), of which the reporting person is the Managing Member and of which the reporting person and his wife were then the sole members.

2. Represents separate transfers of LLC interests in SFI LLC to trusts for the benefit of the reporting person's children. The transfers in the aggregate represented a 45% interest in SFI LLC. The reporting person disclaims beneficial ownership of the company's common stock, RSUs and/or options held by SFI LLC except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of section 16 or for any other purpose.

3. The option fully vested on November 1, 2004.

4. The option fully vested on February 8, 2006.

5. The option fully vested on December 24, 2006.

6. The option fully vested on January 1, 2007.

7. The option fully vested on January 1, 2009.

8. The options vest in four equal installments beginning on May 20, 2010.

9. The options vest in four equal annual installments beginning on March 24, 2010.

10. The options will vest in four equal annual installments beginning on January 26, 2011.

11. Each restricted stock unit (RSU) represents a contingent right to receive one share of the Issuer's common stock or, at the Issuer's option, cash or a combination of the two.

12. RSUs vest on March 1, 2011.

13. RSUs vest in two equal annual installments beginning January 17, 2011.

14. The reporting person transferred this option to SFI LLC, as a gift, on July 15, 2010. The exercise of this option by SFI LLC resulted in taxable income to the reporting person for which the reporting person instructed the Issuer to withhold shares at the time of exercise.

15. The reporting person disclaims beneficial ownership of all securities held by SFI LLC except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of section 16 or for any other purpose.
