SUMMARY OF MATERIAL CHANGE

Platinum Group Metals Ltd. (PTM-TSX) reports that it has reached an agreement with lead agent and co-agent to price its brokered private placement announced June 26, 2006. The Company has agreed to place 5.6 million units at a price of C$1.80 per unit. Each unit will consist of one common share and one half of one common share purchase warrant.
