Disposal of relevant ownership position

São Paulo, January 27, 2026 – Ultrapar Participações S.A. (B3: UGPA3 / NYSE: UGP, “Ultrapar”), in compliance with CVM Resolution 44/21, hereby informs that it was notified by the shareholders Squadra Investimentos – Gestão de Recursos LTDA. and Squadra Investments – Gestão de Recursos LTDA. (“Squadra”) that they reached an aggregate ownership position of 4.95% of common shares issued by Ultrapar as of January 26, 2026, amounting to 55,212,788 shares.

Said position is represented by 55,212,788 common shares, of which 5,423,197 common shares are donated on loan.

Finally, Squadra also declared that it does not intend to change Ultrapar's control composition or administrative structure.
