Item 1.01.  Entry into a Material Definitive Agreement
 
            On December 21, 2009, MutualFirst Financial, Inc. entered into a loan agreement with First Tennessee Bank National Association for $10,000,000 to pay off the loan agreement with Bank of America.  The loan agreement to MutualFirst Financial, Inc. requires quarterly payments at an interest rate of 5.90% maturing in December 2014.
 
The foregoing summary of the agreement is not complete and is qualified in its entirety by reference to the full text of the agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated by reference herein.
