Item 1.01.  Entry into a Material Definitive Agreement.

 

On December 6, 2005, the Compensation Committee of the Board of Directors of Zenith National Insurance Corp., the Registrant, established the annual compensation for Stanley R. Zax, Chairman and President of the Registrant, at $1,750,000 effective January 1, 2006, an increase of $250,000 over his present annual compensation.  Mr. Zax’s employment agreement provides that his compensation for 2005 through 2009 shall be $1,500,000, subject to such increases as the Board of Directors may determine from time to time.
