Explanation of Responses:
1. These shares are owned directly by The Martha Stewart Family Limited Partnership, a 10% owner of the Issuer, and indirectly by Martha Stewart, as general partner of the partnership.
2. Pursuant to the terms of the Issuer's Certificate of Incorporation, each share of Class B Common Stock is convertible into one share of Class A Common Stock at the option of the holder thereof.
3. These shares do not have an expiration date.
Remarks:
Because the SEC's electronic filing system does not allow for the disclosure of more than 30 transactions on one Form 4, the Reporting Person is filing three simultaneous Forms 4 to report her reportable transactions, all of which together shall be deemed a single report filed on this date. This is the first Form 4 of the three filings.
