PART III – NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

On January 26, 2016, Nuo Therapeutics, Inc. (the “Company”) filed a voluntary petition in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”) seeking relief under Chapter 11 of Title 11 of the United States Code (the “Bankruptcy Code”), which is being administered under the caption “In re: Nuo Therapeutics, Inc.”, Case No. 16-10192 (MFW) (the “Chapter 11 Case”).

 

By letter to the Securities and Exchange Commission (the “Commission”) dated March 29, 2016, the Company requested modification of its reporting obligations under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), pursuant to the Securities Exchange Act Release No. 9660 (June 30, 1972) and the Commission’s Staff Legal Bulletin No. 2 (April 15, 1997) (the “No-Action Request Letter”). As of March 31, 2016, the Commission had not granted or denied the Company’s request for no-action relief.

 

The Form 10-K for the fiscal year ended December 31, 2015, for the registrant could not be filed within the prescribed period because of the limitations on staffing, the Company’s limited financial resources and the significant additional burdens that the Company’s Chapter 11 Case has imposed on the Company’s available human and financial resources. Such inability could not have been eliminated by the registrant without unreasonable effort or expense.
