Subsequent Events

On

February 10, 2019,

the Company entered into an Asset Purchase Agreement (the “Purchase Agreement”) with Corcentric, Inc., a Delaware corporation, and Corcentric Acquisition, L.L.C., a Delaware limited liability company (together, the “Buyer”), pursuant to which the Company has agreed to sell substantially all of its assets and the Buyer has agreed to acquire such assets and assume certain liabilities for a cash purchase price of

$32.0

million, subject to certain adjustments and escrow arrangements. The transaction remains subject to customary closing conditions, including the necessary Company stockholder approval and regulatory approvals. The transaction is targeted to close in mid-
