Item 1.01. Entry into a Material Definitive Agreement

On March 7, 2013, OMNOVA Solutions Inc. (the “Company”) entered into an agreement with Deutsche Bank Trust Company Americas, as agent, and certain financial institutions, to amend the Company’s existing $200 million Term Loan Credit Facility. The key terms of the amendment included a one-year extension of the maturity of the facility to May 2018 and a reduction in borrowing spreads by 1.25%. In addition, certain financial covenants that the Company was required to meet under the Term Loan Credit Facility have been eliminated as a result of this amendment. All other terms and conditions of the Term Loan Credit Facility remain substantially the same.
