Item 8.01. Other Events.
 
On November 3, 2020, Alaska Communications Systems Group, Inc. (the “Company”), Macquarie Capital and GCM Grosvenor issued a joint press release announcing the Company’s entry into a definitive Agreement and Plan of Merger (the “Merger Agreement”) with Juneau Parent Co, Inc., a Delaware corporation (“Parent”), and Juneau Merger Co, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”), whereby the Company will be merged with and into Merger Sub and become a wholly owned subsidiary of Parent. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
 
The information required to be reported on Form 8-K with respect to the Merger Agreement will be filed in a separate Current Report on Form 8-K.
