Explanation of Responses:
1. This transaction was effected pursuant to a Rule 10b-5-1 trading plan adopted by the reporting person. The transaction was previously reported as a planned sale on a Form 144 filed by (or on behalf of) the reporting person.
2. The reported exercise relates to an option for the purchase of 30,000 shares of common stock granted to the reporting person on April 22, 2002. Immediately prior to the reported exercise, such option was vested with respect to 22,500 shares and such option will become vested with respect to the remaining 7,500 shares on April 22, 2006 provided the reporting person continues to serve as an employee on such date. The total number of options held by the reporting person within the reported class following the reported transactions is 7,500.
3. The derivative securities beneficial ownership reported in column 9 includes all options held by the reporting person following the reported transactions irrespective of class
