Aqua is submitting this Material Amendment to Parts II and III reflecting the following planned changes in the ATS Operations: (1) Adding a new arrangement with a trading center as part of the amendment to Part II Item 4a and 4b; (2) Clarifying language in Part II, Item 6a, to reflect addition of a new service provider for trade clearance and settlement; (3) Identifying an additional service provider that Aqua plans to use for trade clearance and settlement in Part II Item 6b and 6c; (4) Describing limited information that Aqua may share with an "identified liquidity provider" ("ILP"), a new type of subscriber in Part II Item 7d; (5) Support for a new type of subscriber, an IPL. This subscriber type will have a different relationship than Aqua's current liquidity providers, which are anonymous in Part III Item 1; (6) Description of ILP interaction on the platform and other arrangements with the new subscriber type and specifically including references to ILP in Part III Items 11a; (7) Discussion of ATS rules, procedures and methodology related to the new subscriber type in Part III Item 11c; (8) Describing a new formal arrangement with new liquidity provider in Part III Item 12 Liquidity Providers; (9) Discussion of new segmentation procedures in Part III Item 13a and 13b; (10) Describing counter-party selection procedures that apply to new subscriber type in Part III Item 14a; (11) Clarification of new information displayed on an Aqua Notice in relation to new subscriber type in Part III Item 15b; (12) Clarifying how fees are charged in relation to new subscriber type in Part III Item 19a; and (13) Describing the facilitation of the facilitate the clearance and settlement of transactions in Part III Item 22a. All of these changes apply to Broker-Dealer Operator and Subscribers.
